SpecSage Terms of Service

These Terms of Service ("Terms") govern access to and use of the SpecSage website, platform, and services (the "Services").

These Terms are entered into between you and Initrode LLC, doing business as SpecSage ("SpecSage," "we," "us").

By accessing or using the Services, you agree to these Terms.

1. Relationship to Master Services Agreement

If you are a paying customer or have entered into a separate agreement with SpecSage, the Master Services Agreement ("MSA") governs your use of the Services.

In the event of a conflict, the MSA controls.

2. Eligibility

You must be at least 18 years old and legally able to form a contract.

By using the Services, you represent that you meet these requirements.

3. Account Registration

You are responsible for:

• Maintaining accurate information
• Securing your credentials
• All activity under your account

We may suspend or terminate accounts at any time.

4. Acceptable Use

You may not:

• Reverse engineer the Services
• Interfere with systems
• Circumvent security
• Use the Services unlawfully
• Abuse infrastructure

We may restrict access at our discretion.

5. Fees and Billing

Certain Services require payment.

All fees are:

• Non-refundable
• Subject to change
• Processed through third parties

Failure to pay may result in suspension.

6. Intellectual Property

All SpecSage software, trademarks, and content are owned by SpecSage.

No rights are granted except as expressly stated.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE AVAILABILITY OR ACCURACY.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SPECSAGE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE PRECEDING TWELVE (12) MONTHS.

9. Indemnification

You agree to indemnify and hold harmless SpecSage from claims arising from your use of the Services or violation of these Terms.

10. Termination

We may suspend or terminate your access at any time, for any reason, without notice.

You may stop using the Services at any time.

11. Arbitration and Class Action Waiver

All disputes shall be resolved by binding arbitration in Washington State.

You waive the right to participate in class actions.

12. Privacy

Our Privacy Policy governs data practices and is incorporated by reference.

13. Modifications

We may update these Terms at any time.

Continued use constitutes acceptance.

14. Governing Law

These Terms are governed by Washington law.
